COMPENSATION AND. BENEFITS The Bank shall pay or provide to Executive the following items as compensation for his services hereunder: (i) A base salary of $150,000 per year, payable in monthly installments, which base salary may be increased from time to time in accordance with normal business practices of the Bank; and (ii) A grant of stock options to purchase 9,000 shares of Company Class A Common Stock under the Company's 1996 Long-term Incentive Plan (the "1996 Plan") with an exercise price per share equal to the "fair market value" of one share of Company Common Stock on the date that the options are granted. Fair market value shall be determined with respect to the closing "asked" price of the shares in the over-the-counter market on the day on which such value is to be determined (or as otherwise specified in the 1996 Plan). Such options will vest ratably over four years. Such grant will be made concurrently with the Company's next regularly scheduled grant of stock options, and not later than 60 days after the Effective Date.
