Shelf Takedown Request shall have the meaning set forth in Section 3.2.5(a).
Subsequent Shelf Registration Statement has the meaning set forth in Section 2(b) hereof.
Tender Notice means the Tender Notice set out in Part 1 of this TenderDocument;
Shelf Offering has the meaning set forth in Section 1(d)(i).
Shelf Filing Deadline As defined in Section 4(a) hereof.
Subsequent Financing Notice shall have the meaning ascribed to such term in Section 4.12(b).
Subsequent Shelf Registration shall have the meaning given in subsection 2.3.2.
Change of Control Notice means notice of a Change of Control Offer made pursuant to Section 3.8, which shall be mailed first-class, postage prepaid, to each record Holder as shown on the Note Register within 30 days following the date upon which a Change of Control occurred, with a copy to the Trustee, which notice shall govern the terms of the Change of Control Offer and shall state:
Resale Shelf Registration Statement shall have the meaning given in subsection 2.3.1.
Qualified IPO means an underwritten public offering (other than a public offering pursuant to a registration statement on Form S-4 or Form S-8) of the Equity Interests of any Parent Entity which generates cash proceeds of at least $100.0 million.
FOIA Notice means a decision notice, enforcement notice and/or an information notice;
Exchange Offer Registration Period means the one-year period following the consummation of the Registered Exchange Offer, exclusive of any period during which any stop order shall be in effect suspending the effectiveness of the Exchange Offer Registration Statement.
Shelf Holder means any Holder that owns Registrable Securities that have been registered on a Shelf Registration Statement.
CAFA Notice means the notice of this Settlement to be served upon State and Federal authorities as required by the Class Action Fairness Act of 2005, 28 U.S.C. § 1715.
Shelf Effectiveness Deadline As defined in Section 4(a) hereof.
Underwritten Shelf Take-Down has the meaning set forth in Section 2.4(b).
Underwritten Shelf Takedown shall have the meaning given in subsection 2.3.3.
