The Company has furnished to Parent true and complete copies of all agreements between the Company and the Company Financial Advisors relating to the Merger or the Transactions, subject to redactions of the portions of such agreement relating to the calculation of the fees payable to such Company Financial Advisors.
The Company has been authorized by the Company Financial Advisors to include such opinions in their entirety in the Joint Proxy Statement/Prospectus.
