Combined Technology definition

Combined Technology means the methods, designs, processes, products, materials, documentation, data, information, inventions, works of authorship, trade secrets, software, hardware, technical data, ideas, know-how, concepts, uses, applications and technologies resulting from the combination of the Licensed Technology and the VISTA Technology, and all Intellectual Property Rights therein or related thereto.
Combined Technology means technology (including without limitation Patents and Know-How) developed in the course of the BP-Dow Joint Development Program, whether or not patentable, including all technical data and information generated individually or jointly by Dow or BP in the course of the BP-Dow Joint Development Program; all Ethylene Polymers produced in the course of the BP-Dow Joint Development Program; any individual or joint invention, improvement or discovery, whether or not patentable, which was made or conceived in the course of the BP-Dow Joint Development Program and technology developed in the course of the BP- Dow Joint Development Program for use and/or manufacture of any Combined Technology Catalyst; and all laboratory records, reports, technical data and information generated in the

  • This Agreement shall apply to the marketing and sales efforts of the parties to their respective potential customers with respect to the Combined Technology.

  • Nothing in this Agreement shall limit PMC’s ability to market and sell the PMC Additive Technology (other than as part of the Combined Technology) or ELF’s ability to market and sell the ELF Additive Technology (other than as part of the Combined Technology) to any customer or potential customer wherever located.

  • VISTA shall be responsible for providing end users of the Products with all reasonable technical and operational support, maintenance and assistance regarding the features, uses and functionalities of the Products related to the VISTA Technology and Combined Technology (other than the Licensed Technology).

  • Subject to the terms and conditions of this License Agreement, each party agrees to use commercially reasonable efforts and proceed earnestly and diligently to jointly advertise, market, promote, display, perform the Combined Technology and Products and otherwise exploit every opportunity available to commercialize the Products.

  • DNA agrees that all material, notes, records, works of authorship, inventions, designs, discoveries, improvements, developments, confidential information and trade secrets made, conceived, reduced to practice, or discovered by DNA in performing the Support Services related to the VISTA Technology or Combined Technology (other than related solely to the Pre-Existing Materials or Licensed Technology) shall constitute VISTA Property subject to the terms and conditions of the License Agreement.

  • Unless otherwise agreed between the parties, VISTA shall have the sole right to investigate, pursue and resolve any infringement or misappropriation claims relating to the VISTA Technology or Combined Technology, other than with respect to the Licensed Technology included therein which shall be subject to Sections 5.6(c) through (f) below.

  • The Products and Combined Technology shall at all times be marketed and promoted under such VISTA Marks, as VISTA shall require, and, in addition, to the extent and in the manner mutually agreed between the parties, under the DNA Marks.

  • DNA shall have the sole right to investigate, pursue and resolve any infringement or misappropriation claims relating to the Licensed Technology, except as it relates solely to the Combined Technology or Products.

  • In the event that either party to this License Agreement shall learn of the infringement by a third party of any of the Licensed Technology, VISTA Technology, Combined Technology or Products, that party shall call the attention thereto of the other party in writing and shall provide the other party with reasonable evidence of such infringement.

  • PMC will be exclusively in charge of the potential customers located in North and South America and ELF will be exclusively in charge of the potential customers located in Europe, Asia and Africa for the marketing and sales of Combined Technology.

Related to Combined Technology

  • Developed Technology means any Technology including, without limitation, any enhancements, substitutions or improvements to the Core Technology that is (a) discovered, developed or otherwise acquired by DURA pursuant to the terms of the Development Agreement or (b) otherwise acquired by or on behalf of ▇▇▇▇▇▇ Corp. II during the term of the Development Agreement.

  • Licensed Technology means the Licensed Patents and Licensed Know-How.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Qualified high-technology business means a business or facility whose primary business activity is high-technology activity or a qualified high-wage activity.

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.
