Collective Trusts definition

Collective Trusts is defined in the recitals to this Agreement.
Collective Trusts means the: Clover Capital Multi Cap Value Equity Common Fund, LLC; Clover Capital Mid Cap Value Equity Common Fund, LLC; Clover Capital Enhanced Small Cap Value Equity Common Fund, LLC; Clover Capital Core Fixed Income Common Fund, LLC; Clover Capital Multi Cap Value Equity Fund Group Trust; and Clover Capital Core Fixed Income Fund Group Trust; and any other common fund or collective trust exempt from being registered as an “investment company” under the 1940 Act pursuant to Section 3(c)(3) or Section 3(c)(11) of the 1940 Act (or similar provisions of Applicable Laws of any jurisdiction other than the United States), the shares of or interests in which are privately offered and not registered under the 1933 Act (or similar provisions of Applicable Laws of any jurisdiction other than the United States), to which Seller begins providing investment management, investment advisory or other services (whether as adviser, subadviser or otherwise), or, as applicable, sponsoring, between the date of this Agreement and the Closing as permitted under this Agreement and the other Transaction Documents.

Related to Collective Trusts

  • Administrative Trustees shall have the meaning set forth in the Trust Agreement.

  • Administrative Trustee means each of the Persons identified as an “Administrative Trustee” in the preamble to this Trust Agreement, solely in each such Person’s capacity as Administrative Trustee of the Trust and not in such Person’s individual capacity, or any successor Administrative Trustee appointed as herein provided.

  • Owner Trustee means Wilmington Trust Company, a Delaware trust company, not in its individual capacity but solely as owner trustee under this Agreement, and any successor Owner Trustee hereunder.

  • Definitive Trust Certificates shall have the meaning set forth in Section 3.10.

  • the Macfarlane Trust means the charitable trust, established partly out of funds provided by the Secretary of State to the Haemophilia Society, for the relief of poverty or distress among those suffering from haemophilia;

  • Escrow Trustee means the bank or trust company designated by the Fiscal Officer in the Certificate of Award as the initial escrow agent with respect to the Refunded Bonds under the Escrow Agreement and until a successor Escrow Trustee shall have become such pursuant to the provisions of the Escrow Agreement and, thereafter, "Escrow Trustee" shall mean the successor Escrow Trustee.

  • Other Trusts Means the Continental Airlines Pass Through Trust 2001-1A-1-O, the Continental Airlines Pass Through Trust 2001-1A-2-O and the Continental Airlines Pass Through Trust 2001-1B-O, created by the Other Agreements.

  • Master Program Trust Agreement means that certain Master Program Trust Agreement, dated as of November 1, 1995, by and among the Trust, the State, United States Trust Company of New York, as Master Program Trustee thereunder, The Bank of New York (NJ), in several capacities thereunder, and First Fidelity Bank, N.A. (predecessor to Wachovia Bank, National Association), in several capacities thereunder, as supplemented by that certain Agreement of Resignation of Outgoing Master Program Trustee, Appointment of Successor Master Program Trustee and Acceptance Agreement, dated as of November 1, 2001, by and among United States Trust Company of New York, as Outgoing Master Program Trustee, State Street Bank and Trust Company, N.A. (predecessor to U.S. Bank Trust National Association), as Successor Master Program Trustee, and the Trust, as the same may be amended and supplemented from time to time in accordance with its terms.

  • Note A-1 Trust Fund means the trust formed pursuant to the Note A-1 PSA.

  • SUBI Trust Agreement has the meaning set forth in the Recitals.

  • Titling Trust Agreement means the Amended and Restated Trust Agreement, dated as of April 30, 2012, by and between GE Capital Title Holding Corp., a Delaware corporation, as settlor and initial beneficiary and Wilmington Trust Company, a Delaware trust company, as UTI trustee, Administrative trustee and Delaware trustee.

  • Delaware Trust Assets Purchaser means the Computershare Delaware Trust Company.

  • Owner Trust means with respect to any Leased Aircraft, the trust created by the "Trust Agreement" referred to in the Leased Aircraft Indenture related thereto.

  • Liquidation Trust Agreement means the Liquidation Trust Agreement to be dated as of the Effective Date establishing the terms and conditions of the Liquidation Trust, substantially in the form attached hereto as Exhibit B.

  • Delaware Trust Statute means the Delaware Statutory Trust Act, Chapter 38 of Title 12 of the Delaware Code, 12 Del. C. § 3801 et seq., as the same may be amended from time to time.

  • Securitization Trust means a trust formed pursuant to a Securitization pursuant to which one or more of the Notes are held.

  • Property Trustee Account has the meaning set forth in Section 3.8(c).
