This Agreement, together with the other Collaboration Documents, contains all of the terms agreed to by the parties regarding the subject matter hereof and thereof and supersede any prior agreements, understandings, or arrangements between them, whether oral or in writing.
The Parties may terminate the Collaboration and the Collaboration Documents at any time by mutual written agreement.

Each party will hold confidential and will not, directly or indirectly, disclose, publish, or use for the benefit of any Third Party or itself, except in carrying out its duties under the Collaboration Documents, any confidential or proprietary information of the other party or confidential or proprietary information jointly developed by the parties, without first having obtained the furnishing party’s written consent to such disclosure or use.
Each party will maintain complete and accurate books and records in sufficient detail, in accordance with GAAP and all applicable laws, rules, ordinances, and regulations, to enable verification of the performance of such party's obligations under the Collaboration Documents and verification of the Collaboration Costs incurred by such party.
Inyx may not sublicense any of the rights granted to it pursuant to this Agreement or the other Collaboration Documents, or utilize subcontractors in the performance thereof, except to wholly owned subsidiaries of Inyx.
Should either King or Inyx exercise their right to terminate this Agreement (but not in the event of an expiration of this Agreement as set forth in Section 7.9), then all other Collaboration Documents will concurrently terminate.
