Certification of Designation means the document to be filed by Seller with the Texas Secretary of State detailing the final privileges, rights and preferences of the Preferred Stock.

Examples of Certification of Designation in a sentence

  • On the Effective Date, Reorganized AMI shall adopt the Restated Certificate of Incorporation, the New Preferred Stock Certification of Designation (if applicable) and the Restated Bylaws, and shall file the Restated Certificate of Incorporation and the New Preferred Stock Certification of Designation (if applicable) with the Secretary of State of the State of Delaware.
