Cells definition

Cells means individual human cells or a collection of human cells when not bound by any form of connective tissue;
Cells means individual human cells or a collection of human cells when not bound by any form of connective tissue, including cell lines grown outside the human body but not including—
Cells mean human cells (whether individually or in an unbound collection) including cell lines, but not including gametes, embryos outside the body, blood or blood components. “Tissue” for the Regulations, means all constituent parts of the human body formed by cells, but not including gametes and embryos outside the body (which are regulated by the Human Fertilisation and Embryology Authority pursuant to the Human Fertilisation and Embryology Act 1990), or organs.

  • Notwithstanding the foregoing, QS shall have no obligation to defend or settle any claim for any infringement or other violation of any Intellectual Property Right: (i) relating to the use of Cells other than in the manner intended, (ii) where such claim relates solely to PowerCo Background IP, or (iii) a claim based on Intellectual Property Rights owned by PowerCo or any of its controlled Affiliates.

  • PowerCo may terminate this Agreement at any time by giving ninety (90) days’ prior written notice to QS following the event of significant delay (such as an SOP delay, delay of customer milestones or missed milestones), or a breach or failure of the technical and commercial viability of the Cells.
