A The Company, CAG, and its wholly owned subsidiaries, CAG HK, CAC, and CEG, have entered into the Stock Purchase Agreement.
As of the date hereof, the total issued share capital of CAG HK and the number of issued shares constituting such share capital is set forth on Schedule 3.03(a) (the “HK Company Shares” and, together with the U.S. Company Capital Stock, the “Company Capital Stock”).
CAG HK is a company duly incorporated and validly existing under the laws of Hong Kong and has the requisite corporate power and authority to own, lease, and operate its assets and properties and to carry on its business as it is now being conducted.
The Parties agree that the bought and sold notes and instruments of transfer in respect of the CAG HK Shares as contemplated pursuant to the terms of this Agreement shall be submitted to the Stamp Office of the Inland Revenue Department of Hong Kong for adjudication by Parent as soon as practicable after Closing (but in any event within 30 days after Closing).
As used in this Article II, the term “Borrower” includes each and all of CAG HK, CAC and CEG, unless the context otherwise requires.
Each Party undertakes that it will promptly provide any further documentation (certified as being true copies, where so requested) that may be reasonably required in connection with the submission of the bought and sold notes and instruments of transfer in respect of the CAG HK Shares to the Stamp Office of the Inland Revenue Department of Hong Kong.
