In the event, however, that the Indemnifying Party declines or fails to assume the defense of the audit, investigation, action or proceeding on the terms provided above or to employ counsel reasonably satisfactory to the Indemnified Party, in either case within such twenty (20) day period, then any Buyer Damages or any Stockholder Damages (as the case may be) shall include the reasonable fees and disbursements of counsel for the Indemnified Party as incurred.
Seller agrees the use by Seller or the sale or disposition to third- parties of any such excess Products bearing Buyer's Identification will result in an infringement of Buyer's property rights and Seller agrees to pay Buyer Damages figured at three times the Price of any such Products used, sold or disposed of in violation of this Order.
The escrow account shall be governed by the terms and conditions of the Escrow Agreement, and shall be available to satisfy any Buyer Damages in accordance with and subject to the terms and conditions of Article VII.
