Holdings shall prepay the Term B Loans in an aggregate amount equal to the greater of (i) $10,000,000 and (ii) the aggregate Dollar amount of all cash, checks and other cash equivalent financial instruments received by Holdings on or prior to the Effective Date in respect of the BMCI Liquidation.
As of July 31, 2008, the net book value of all cash, cash equivalents and other securities held by BMCI was $49,900,000.
