Base Technology definition

Base Technology means the information existing and known to Hologic on the date of this Agreement or within two years thereafter that is necessary or useful in the design, development, manufacture, or marketing of an x-ray screening security system.
Base Technology shall have the meaning set forth in Section 12.1 hereof.
Base Technology of a Party shall mean any Intellectual Property Rights existing and owned by that Party and/or its Affiliates or agents on or before the Effective Date relating to the RTFS technology or the Product and, for UNILIFE, includes the Patents.

  • As between the Parties, ABI will own all right, title and interest in and to the ABI Base Technology and the ABI Improvements, subject only to the licenses set forth herein.

More Definitions of Base Technology

Base Technology means the inventions, discoveries, methods, techniques, know-how, data and other information known to Supplier on the Agreement Date that is necessary or useful in the design, development, or manufacture of the Product and that Supplier has the right to make available to Licensee as provided herein. This Base Technology compromises the information and the knowledge to transform Supplier's proprietary compound (esterified oils) into a finished product (i.e., a topical cream, pill or liquid).
Base Technology means any and all materials, bills of material, prototypes, specimens, information, test results, technical data, formulas, reformulations, documents and publications used, acquired, created, purchased, compiled, presented, possessed or otherwise developed by PDEX relating to PDEX’s underlying technology and know-how that will be incorporated into the Product. Such technology includes, but is not limited to motors, sealing systems, cables, shafts, coatings, pushbuttons, printed circuit boards, and all manufacturing methods. Base Technology includes any modifications and/or improvements made to PDEX’s beginning Base Technology during the term of this Agreement.
Base Technology means any and all Intellectual Property, biological and chemical materials, information and other technology developed in the performance of the Services that are modifications or improvements of, or related to, any and all of the Abzena Background Technology, except to the extent relating to any of the Company Material, Company Foreground Technology, Company Technology or Deliverables.
Base Technology means all of the proprietary methodology, know-how and intellectual property, and related documentation, commonly referred to by Licensor as the iD System, as set forth in more detail in Exhibit A, including without limitation all presently existing United States and foreign copyrights, know-how, patents, licenses, patent applications, software, inventions, trade secrets, formulas, algorithms, processes, methodologies, designs, schematics, diagrams and the like pertaining to the Base Technology.
Base Technology means, collectively, the TWI Base Technology, the Toray Base Technology, the Shimadzu Base Technology and the TWKK Base Technology.
Base Technology means all inventions, discoveries, improvements, processes, ideas and designs that a Party owns, controls or otherwise has the right to use in the performance of its obligations under this Agreement, other than Developed Technology. Base technology can be created at any time during the Term of this Agreement.
Base Technology means all Owned Technology which is not itself Assigned Technology (because it is or may be embodied or incorporated in or is necessary or useful to design, develop, modify, enhance, manufacture, implement or otherwise exploit one or more Seller Products being retained by Seller), but which Owned Technology is necessary or useful to design, develop, modify, enhance, manufacture, implement or otherwise exploit the Assigned Technology for the Business or is embodied or incorporated in any design, configuration or combination which is part of or used in connection with the Assigned Technology for the Business. Base Technology includes, but is not limited to, the “Sublicensable Base Technology” listed on Schedule 1.1(e)(i) hereto, the “Royalty-Bearing Base Technology” listed on Schedule 1.1(e)(ii) hereto, the “Referenceable Base Technology” listed on Schedule 1.1(e)(iii) hereto, and any Assigned Technology Modification(s) and any Base Technology Modification(s).
