Section 4.10(b) of the Disclosure Schedules lists all current Permits issued to Bango Oil or another Seller Party which are related to the conduct of the Business as conducted as of immediately prior to the Cessation Date or the ownership and use of the Purchased Assets, including the names of the Permits and their respective dates of issuance and expiration.
Each Seller Party has (or, in the case of Bango Oil, will have, as of immediately prior to the Closing) full corporate or other power and authority to enter into this Agreement and the other Transaction Documents to which such Seller Party is a party, to carry out its obligations hereunder and thereunder and to consummate the transactions contemplated hereby and thereby.
