Automatic Early Redemption definition

Automatic Early Redemption. In certain circumstances, the Notes may be redeemed automatically prior to maturity following the occurrence of certain events specified in the applicable Conditions.
Automatic Early Redemption is specified as being "Applicable" in the applicable Final Terms, Condition 7 (Redemption and Purchase) applies, except that, unless previously redeemed or purchased and cancelled under the Conditions, if at the (or any) Valuation Time on the (or any) Automatic Early Redemption Observation Date(s) an Automatic Early Redemption Event has occurred each Note will be redeemed by the Issuer at its Specified Denomination in the relevant Specified Currency on the next following Interest Payment Date, unless the Automatic Early Redemption Event occurred during the last Fixed Interest Period, in which case Condition 7 (Redemption and Purchase) applies.
Automatic Early Redemption has the meaning set forth in Section 10(a).

Examples of Automatic Early Redemption in a sentence

  • Applicable provided that (i) no Automatic Early Redemption Event has occurredand (ii) the Issuer has not already designated the Valuation Date in accordancewith the OET Certificate Conditions.

  • As per Condition 34.11 Automatic Early Redemption Payout 2210/1.The fifth Business Day following the Valuation Date.

  • Applicable provided that (i) no Automatic Early Redemption Event hasoccurred and (ii) the Issuer has not already designated the Valuation Datein accordance with the OET Certificate Conditions.

  • Automatic Early Redemption: If, on any Autocall Valuation Date, the closing price of the Underlying is greater than or equal to the relevant Autocall Barrier, the product will be redeemed on the corresponding Early Redemption Date.

  • Valuation Date means the relevant Automatic Early Redemption Valuation Date.

  • Automatic Early Redemption Amount(s): In respect of each Applicable Date, the Autocall Event Amount corresponding to such Applicable Date.

  • Single Standard Automatic Early Redemption If on any Automatic Early Redemption Valuation Date the SPS AER Value is greater than or equal to the Automatic Early Redemption Level.SPS Automatic Early Redemption Payout: NA x (AER Redemption Percentage + AER Exit Rate) "AER Redemption Percentage" is 100 per cent.

  • The Conversion Rate Early equals one if the relevant Share Currency is the same as the Settlement Currency or otherwise the rate determined by the Calculation Agent during the three-hour period immediately following the occurrence of an Automatic Early Redemption Event by reference to such sources as it considers appropriate acting in good faith and in a commercially reasonable manner, having taken into account relevant market practice.

  • Each Automatic Early Redemption Valuation Date shall be subject to postponement in accordance with Condition 22(e) as if each reference to "Valuation Date" in such Condition was deemed to be a reference to "Automatic Early Redemption Valuation Date".

Related to Automatic Early Redemption

  • Automatic Early Redemption Date means each Automatic Early Redemption Date specified in the relevant Final Terms.

  • Automatic Early Redemption Amount means the Automatic Early Redemption Amount specified in the relevant Final Terms.

  • Automatic Early Redemption Event means that:

  • Early Redemption Date means the date on which the Notes become due and payable pursuant to Condition 9;

  • Early Redemption Amount means in respect of each Note in circumstances where such Notes are redeemed early pursuant to Conditions 7(b) or (c), the outstanding principal amount of each Note, unless otherwise specified in the Final Terms or Series Offering Document, as applicable;

  • Early Redemption Amount (k means the "Early Redemption Amount (k)" as calculated or, respectively specified by the Calculation Agent pursuant to § 4 (2) of the Special Conditions.

  • Early Redemption Event means that R (k) is equal to or greater than the Early Redemption Level (k) on the respective Observation Date (k).

  • Postponed Early Redemption Date means the tenth Business Day following the Early Redemption Date (if any);

  • Early Redemption Level (k) means the Early Redemption Factor (k) x R (initial).

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Optional Redemption Period shall have the meaning set forth in Section 6(a).

  • Make-Whole Redemption Amount means the sum of:

  • Optional Redemption Price shall have the meaning set forth in Section 3.2.

  • Optional Redemption Amount (Put) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Make-whole Redemption Rate means (i) the average of the four quotations given by the Reference Dealers of the mid-market annual yield to maturity of the Reference Security on the fourth Business Day preceding the Make-whole Redemption Date at 11:00 a.m. (Central European Time ("CET")) ("Reference Dealer Quotation") or (ii) the Reference Screen Rate, as specified in the relevant Final Terms.

  • Make-Whole Redemption Price means the sum of the outstanding principal amount of the Notes to be redeemed plus the Make-Whole Amount of such Notes. Calculation or verification of the calculation of the Make-Whole Redemption Price is not the responsibility of the Trustee and the Trustee may conclusively rely on an Officers’ Certificate with respect thereto without investigation.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Early Redemption Amount (Tax) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Optional Redemption Premium means, with respect to any Series, the premium (expressed as a percentage of the Liquidation Preference of the shares of such Series) payable by the Fund upon the redemption of MuniFund Term Preferred Shares of such Series at the option of the Fund, as set forth in the Appendix for such Series.

  • Optional Redemption shall have the meaning set forth in Section 6(a).

  • Optional Redemption Amount (Call) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Monthly Redemption Amount means, as to a Monthly Redemption, one seventh of the original principal amount at 110% of such principal amount, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Note.

  • Monthly Redemption means the redemption of this Debenture pursuant to Section 6(b) hereof.
