Acquisition Conditions Precedent means the conditions listed in Appendix I to the Press Release or, if a Conversion Notice has been delivered, the corresponding conditions precedent in the Offer Press Release.

  • Condition Satisfaction Date shall have the meaning set forth in Section 7.2.

  • Amendment Closing Date means the first date that all the conditions precedent set forth in this Amendment are satisfied or waived in accordance herewith.

  • First Amendment Closing Date has the meaning assigned to such term in the First Amendment.

  • Escrow Release Conditions has the meaning set forth in the Escrow Agreement.

  • Minimum Extension Condition has the meaning assigned to such term in Section 2.23(b).
