This INVESTMENT RECOVERY PROPERTY PURCHASE AND SALE AGREEMENT (this “Agreement”), dated as of September 1, 2011, is between Entergy Louisiana Investment Recovery Funding I, L.L.C., a Louisiana limited liability company (the “Issuer”), and Entergy Louisiana, LLC, a Texas limited liability company duly authorized and qualified to do and doing business in the State of Louisiana (together with its successors in interest to the extent permitted hereunder, the “Seller” or “ELL”).
