THIS FIRST AMENDMENT (the "Amendment"), is made effective this 20th day of July, 2022 (the “Effective Date”), by and between Beta Plus Technologies, Inc. (as successor in interest to Refinitiv US LLC, “BetaNXT”), and AssetMark Financial Holdings, Inc. (“AssetMark”) (“Client” or "Subscriber") and amends the BETA Services Master Subscription Agreement between the parties dated May 1st, 2020 (the “Agreement”).

You agree that this Agreement (defined below) is like any written negotiated agreement signed by you. By clicking to accept this Agreement, you agree to be bound by its terms, including terms regarding governing law and venue set forth in Section 16 (Governing Law). THIS AGREEMENT IS ENFORCEABLE AGAINST YOU AND, IF APPLICABLE TO A PARTICULAR SERVICE (DEFINED BELOW), ANY LEGAL ENTITY ON WHOSE BEHALF THE SERVICE IS USED.

If you elect to participate in any evaluation or test of any Beta Services, then the following conditions shall apply. “Beta Services” shall mean any pre-production version of services that are offered by Armor to certain customers for the sole purpose of testing and evaluating such services.
