THIS SUB-ADVISORY AGREEMENT (the “Agreement”), dated as of _______________, 2015, is entered into by and between Oak Ridge Investments, LLC, a Delaware limited liability company, with its principal office and place of business at 10 S. LaSalle Street, Suite 1900, Chicago, IL 60603 (the “Advisor”), and Algert Global LLC, a Delaware limited liability company, with its principal office and place of business at 555 California Street, Suite 3325, San Francisco, CA 94104 (the “Sub-advisor”).

THIS AMENDED AND RESTATED OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of September 18, 2015, by and between INVESTMENT MANAGERS SERIES TRUST, a Delaware statutory trust (the “Trust”), on behalf of its series listed in Appendix A, as amended from time to time (each a “Fund”), and the investment advisor of the Funds, Oak Ridge Investments, LLC (the “Advisor”).

THIS SUBSCRIPTION AGREEMENT is entered into as of the 30th day of September 2015, between Investment Managers Series Trust, a statutory trust organized and existing under the laws of Delaware (the "Trust") on behalf of the Oak Ridge Dynamic Small Cap Fund and the Oak Ridge International Small Cap Fund (the “Funds”), and Oak Ridge Investments, LLC (the "Purchaser").
