This Agreement and Plan of Reorganization (the “Agreement”) is made as of August 24, 2020 by Thrivent Series Fund, Inc. (the “Fund”), a Minnesota corporation, on behalf of its series, Thrivent Large Cap Growth Portfolio (the “Acquiring Portfolio”) and Thrivent Partner Growth Stock Portfolio (the “Target Portfolio”). Thrivent Financial for Lutherans is also party to the Agreement solely for purposes of Section 3.F.

Thrivent Financial for Lutherans (“TFL”) and Thrivent Series Fund, Inc. (“TSF”) hereby agree that the Investment Advisory Agreement between TFL and TSF dated April 10, 2002, as amended (the “Agreement”), is hereby amended to reflect that effective August 31, 2020, Thrivent Partner Growth Stock Portfolio has merged into Thrivent Large Cap Growth Portfolio. A revised Schedule I is attached hereto.

Thrivent Series Fund, Inc. (“TSF”) and Thrivent Distributors, LLC (“TDL”) hereby agree that the Distribution Agreement dated December 1, 2018, as amended, between TSF and TDL (the “Agreement”), is hereby amended to reflect that effective August 31, 2020, Thrivent Partner Growth Stock Portfolio has merged into Thrivent Large Cap Growth Portfolio.

(the “Corporation”) hereby agree that, with respect to the Administrative Services Agreement dated January 1, 2009, as amended, between TFL and the Corporation (the “Agreement”), is hereby amended to reflect that effective August 31, 2020, the Agreement is amended to reflect that Thrivent Partner Growth Stock Portfolio has merged into Thrivent Large Cap Growth Portfolio.

(“TFISI”) hereby agree that the TRANSFER AGENCY AND SERVICES AGREEMENT, dated as of January 1, 2020, by and between TSF and TFISI (the “Agreement”) is hereby amended to reflect that effective August 31, 2020, Thrivent Partner Growth Stock Portfolio has merged into Thrivent Large Cap Growth Portfolio.
