AGREEMENT dated as of September 30, 2005, between Forward Funds, a Delaware statutory trust (the “Fund”), an open-end, management investment company having its principal place of business at 433 California Street, San Francisco 94104 and ALPS Distributors, Inc., a Colorado corporation and a registered broker-dealer under the Securities Exchange Act of 1934, having its principal place of business at 1625 Broadway, Suite 2200, Denver, Colorado 80202 (the “Distributor”).

This Distribution Services Agreement (the “Plan”) is adopted by the Forward Funds (the “Trust”), a Delaware statutory trust organized under the Investment Company Act of 1940 (the “Act”) as an open-end mutual fund, with respect to the distribution of its Class A Shares of the Forward Emerald Banking and Finance Fund (the “Fund”) by the principal underwriter and distributor for the Fund (the “Distributor”).
