THIS AGREEMENT is made and entered into as of this 20th day of November, 2009, by and between THREE G FINANCIAL, LLC (the "Adviser"), a limited liability company registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”) located at located at 5940 South Rainbow Boulevard, Las Vegas, Nevada 89118, and FOCUSPOINT SOLUTIONS, INC. (the “Subadviser”), a corporation registered under the Advisers Act, located at 3395 SW Garden Avenue, Portland Oregon 97225, with respect to each Fund listed on Schedule A hereto (each, a “Fund”), each a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).
