This Investment Advisory Agreement (the “Agreement”) is made and entered into as of this 13th day of March, 2019, as amended and restated on November 15, 2021, as further amended and restated as of February 2, 2023 and March 17, 2023, by and between Sprott Asset Management LP, a Canadian limited partnership (the “Adviser”), and Sprott Funds Trust, a Delaware statutory trust (the “Trust”), regarding the Funds listed in Appendix A (the “Fund(s)”).
