This MARKETING AGENT AGREEMENT (the “Agreement”) is made as of July 14, 2017 by and among ALPS Distributors, Inc., a Colorado corporation (the “Marketing Agent”), the United States Commodity Funds LLC, a Delaware limited liability company (the “Sponsor”), and the USCF Funds Trust, a Delaware statutory trust (the “Trust”), on its own behalf and on behalf of the series established and designated by the Trust and listed on Annex A (each a “Fund” and collectively the “Funds”).

THIS AGREEMENT, dated as of July 7, 2017, by and among UNITED STATES COMMODITY FUNDS LLC, a Delaware limited liability company (the “Sponsor”), USCF Funds Trust, a Delaware statutory trust (the “Trust”), on behalf of each series thereof listed on Appendix A to this Agreement as it may be amended from time to time, severally and not jointly (each a “Fund” and collectively, the “Funds”), and BROWN BROTHERS HARRIMAN & CO., a limited partnership formed under the laws of the State of New York (“BBH&Co.” or the “Custodian”). The terms of this Agreement shall apply separately and respectively to each Fund, and each reference to the “Trust” herein shall mean the Trust on behalf of each Fund.
