This Amended and Restated Employment Agreement (this “Agreement”) is made effective as of February 18, 2014 (the “Effective Date”), by and between Cheviot Saving Bank, an Ohio-chartered stock savings and loan association (the “Bank”) and Thomas J. This letter sets forth the agreement between Cheviot Savings Bank, Cheviot, Ohio (the “Bank”), the wholly-owned subsidiary of Cheviot Financial Corp. (the “Company”), which in turn is the majority-owned subsidiary of Cheviot, MHC (the “MHC”), and RP® Financial, LC. (“RP Financial”), whereby RP Financial will provide the independent conversion appraisal services in conjunction with the second step conversion transaction by the Company.
