THIS SECOND AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (“Agreement”) of Nuveen Global Advisors, LLC, a Delaware limited liability company (the “Company”), dated and effective as of the 19th day of January, 2006, by and among NWQ Holdings, LLC, a Delaware limited liability company (“Holdings”), and the other individuals identified on Exhibit A hereto (the “Interest Schedule”), as members (each, a “Member” and, collectively, the “Members”), shall also be binding upon such other persons who may become Members pursuant to the terms of this Agreement.
