Reference is made to the Collateral Agreement, dated as of September 16, 2002 and subsequently amended on November 25, 2002, by and among JPMorgan Chase Bank, and Loralee S. West, William M. Doran and Angela Paige West, as Trustees under the Agreement of Trust, dated as of December 22, 1980, established by Alfred P. West, Jr., for the benefit of Angela Paige West (the “Collateral Agreement”) and the other Collateral Agreements identified on Annex A hereto (collectively, the “Collateral Agreements”). Capitalized terms used but not defined herein shall have the meanings given to such terms in the Collateral Agreement.

This Amendment to Collateral Agreement (the “Amendment”), dated as of March 26, 2009, is between (i) Alfred P. West, Jr. (the “Borrower”) and (ii) JPMorgan Chase Bank, N.A. (the “Bank”).
