Common use of Your Responsibility Clause in Contracts

Your Responsibility. You are solely responsible for the quality, completeness, accuracy, validity and integrity of the image. You are solely responsible if you, intentionally or unintentionally, submit fraudulent, incorrect or illegible images to us or if Mobile Deposit is used, by authorized or unauthorized persons, to submit fraudulent, unauthorized, inaccurate, incorrect or otherwise improper or unusable images to us. In addition you agree that you will not modify, change, alter, translate, create derivative works from, reverse engineer, disassemble or decompile the technology or Service, copy or reproduce all or any part of the technology or Service; or interfere, or attempt to interfere, with the technology or Service. We and our technology partners, inclusive of, but not limited to, Intuit, Inc. and Vertifi Software, LLC, retain all rights, title and interests in and to the Services, Software and Development made available to you. Accountholder's Indemnification Obligation. You understand and agree that you are required to indemnify us and hold us harmless against any and all claims, actions, damages, liabilities, costs, and expenses, including reasonable attorneys' fees and expenses arising from your use of the Services and/or breach of this Disclosure and Agreement. You understand and agree that this paragraph shall survive the termination of this Agreement. You understand and agree that you are required to indemnify our technology partners, including but not limited to Intuit, Inc. (Intuit) and Vertifi Software, LLC (Vertifi), and hold harmless Intuit, its affiliates, officers, employees and agents, as well as Vertifi, its affiliates, officers, employees, and agents, from and against any third party claims, suits, proceedings, actions or demands, including to claims of another financial institution, business entity or governmental authority, and all losses, liabilities, damages, fines, penalties, costs and expenses, including court costs and reasonable attorney fees and expenses, arising from such claims, to the extent such claim is related to GE Credit Union’s or the member's use of the Services, Vertifi or Intuit Applications, unless such claim directly results from an action or omission made by Intuit or Vertifi in bad faith. You understand and agree that this paragraph shall survive the termination of this Agreement.

(Intuit) and Vertifi SoftwareAllied Payment Network, LLC (Vertifi)Urban FT, Sharetec, and Northern Data Systens and hold harmless Intuit, Allied Payment Network, Urban FT, Sharetec, and Northern Data Systems its affiliates, officers, employees and agents, as well as Vertifi, its affiliates, officers, employees, and agents, agents from and against any third party claims, suits, proceedings, actions or demands, including to claims of another financial institution, business entity or governmental authority, and all losses, liabilities, damages, fines, penalties, costs and expenses, including court costs and reasonable attorney fees and expenses, arising from such claims, to the extent such claim is related to GE Credit Union’s SSCFCU's or the member's use of the Services, Vertifi Allied Payment Network, or Intuit Applications, unless such claim directly results from an action or omission made by Intuit or Vertifi Allied Payment Network in bad faith. You understand and agree that this paragraph shall survive the termination of this Agreement.

You are solely responsible if you, intentionally or unintentionally, submit fraudulent, incorrect or illegible images to us or if Mobile Deposit the Service is used, by authorized or unauthorized persons, to submit fraudulent, unauthorized, inaccurate, incorrect or otherwise improper or unusable images to us. You will promptly provide any retained check, or a sufficient copy of the front and back of the check, to the Bank as requested to aid in the clearing and collection process, to resolve claims by third parties with respect to any check or check image, or for the Bank’s audit purposes. In addition addition, you agree that you will not modify, change, alter, translate, create derivative works from, reverse engineer, or disassemble or decompile the technology or Service, copy or reproduce all or any part of the technology or Service; or interfere, or attempt to interfere, with the technology or Service. We and our technology partners, inclusive of, but not limited to, Intuit, Inc. and Vertifi Software, LLC, partners retain all rights, title and interests in and to the ServicesService, Software and Development made available to you. Accountholder's Indemnification ObligationDISCLAIMER OF WARRANTIES. YOU AGREE YOUR USE OF THE SERVICES AND ALL INFORMATION AND CONTENT (INCLUDING THAT OF THIRD PARTIES) IS AT YOUR SOLE RISK AND IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND AS TO THE USE OF THE SERVICES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES (i) WILL MEET YOUR REQUIREMENTS, (ii) WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE, AND (iv) ANY ERRORS IN THE SERVICES OR TECHNOLOGY WILL BE CORRECTED. YOU AGREE AND ACKNOWLEDGE THAT NO EXPRESS WARRANTIES HAVE BEEN GIVEN. LIMITATION OF LIABILITY. YOU AGREE THAT WE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER LOSSES RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICES INCURRED BY YOU OR ANY THIRD PARTY ARISING FROM OR RELATED TO THE USE OF, INABILITY TO USE, OR THE TERMINATION OF THE USE OF THIS SERVICES, REGARDLESS OF THE FORM OF ACTION OR CLAIM (WHETHER CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE), EVEN IF BANK HAS BEEN INFORMED OF THE POSSIBILITY THEREOF. User Warranties and Indemnification. You understand warrant to Bank that: • You will only transmit eligible checks. • Images will meet the image quality standards. • You will not transmit duplicate checks or checks previously deposited at a financial institution. • You will not deposit or represent the original check. • All information you provide to Bank is accurate and agree that you are required to indemnify us and hold us harmless against any true. • You will comply with this Agreement and all claimsapplicable rules, actions, damages, liabilities, costs, laws and expenses, including reasonable attorneys' fees and expenses arising from your use of the Services and/or breach of this Disclosure and Agreement. You understand and agree that this paragraph shall survive the termination of this Agreement. You understand and agree that you are required to indemnify our technology partners, including but not limited to Intuit, Inc. (Intuit) and Vertifi Software, LLC (Vertifi), and hold harmless Intuit, its affiliates, officers, employees and agents, as well as Vertifi, its affiliates, officers, employees, and agents, from and against any third party claims, suits, proceedings, actions or demands, including to claims of another financial institution, business entity or governmental authority, and all losses, liabilities, damages, fines, penalties, costs and expenses, including court costs and reasonable attorney fees and expenses, arising from such claims, to the extent such claim is related to GE Credit Union’s or the member's use of the Services, Vertifi or Intuit Applications, unless such claim directly results from an action or omission made by Intuit or Vertifi in bad faith. You understand and agree that this paragraph shall survive the termination of this Agreementregulations.

You understand and agree that you are required to indemnify our technology partners, including but not limited to Intuit, Inc. (Intuit) Digital Insight and Vertifi Software, LLC (Vertifi), and hold harmless IntuitDigital Insight, its affiliates, officers, employees and agents, as well as Vertifi, its affiliates, officers, employees, and agents, from and against any third party claims, suits, proceedings, actions or demands, including to claims of another financial institution, business entity or governmental authority, and all losses, liabilities, damages, fines, penalties, costs and expenses, including court costs and reasonable attorney fees and expenses, arising from such claims, to the extent such claim is related to GE Credit UnionFI or End User’s or the member's use of the Services, Vertifi or Intuit Digital Insight Applications, unless such claim directly results from an action or omission made by Intuit Digital Insight or Vertifi in bad faith. You understand and agree that this paragraph shall survive the termination of this Agreement.

Financial Information You must inform us immediately of any material change in your financial circumstances or in any of the information provided in your Application for any Remote Banking services. You agree to provide us any financial information we reasonably request during the term of this Agreement. You authorize us to review your history from time to time. Check Positive Pay Positive Pay is a feature available through WESTconsin Business Connect only that aids in the identifications of potential fraudulent checks presented against your business account(s). Positive Pay also allows you to reconcile your checks. Initial permission to Positive Pay is granted to the Business Administrator(s) (reference Entitlements section). The Business Administrator(s) may then authorize and set access levels for your Business Users’ access to Positive Pay. Users of Positive Pay can update Positive Pay with checks written against the business account. Bill pay checks are entered automatically, if using these services at the same time. Business Administrators and Business Users must enter for each check the check number, the payee, the check date, the amount, and whether the check is void or not. Users must enter such information for each before it clears the account. If you, your Administrators, or your Users fail to enter the check information by 10:00 am Central Time, WESTconsin Credit Union will pay all items that attempt to clear and notify you via email to review each item as the system will not recognize it as a legitimate item and deem it an exception.

Accountholder's Indemnification Obligation. You understand and agree that you are required to indemnify us and hold us harmless against any and all claims, actions, damages, liabilities, costs, and expenses, including reasonable attorneys' fees and expenses arising from your use of the Services and/or breach of this Disclosure and Agreement. You understand and agree that this paragraph shall survive the termination of this Agreement. You understand and agree that you are required to indemnify our technology partners, including but not limited to Intuit, Inc. Digital Insight (IntuitDigital Insight) and Vertifi Software, LLC Ensenta (VertifiEnsenta), and hold harmless IntuitDigital Insight, its affiliates, officers, employees and agents, as well as VertifiEnsenta, its affiliates, officers, employees, and agents, from and against any third party claims, suits, proceedings, actions or demands, including to claims of another financial institution, business entity or governmental authority, and all losses, liabilities, damages, fines, penalties, costs and expenses, including court costs and reasonable attorney fees and expenses, arising from such claims, to the extent such claim is related to GE Credit UnionFI or End User’s or the member's use of the Services, Vertifi Ensenta or Intuit Digital Insight Applications, unless such claim directly results from an action or omission made by Intuit Digital Insight or Vertifi Ensenta in bad faith. You understand and agree that this paragraph shall survive the termination of this Agreement.

Your Responsibility. You are solely responsible for the quality, completeness, accuracy, validity and integrity of the image. You are solely responsible if you, intentionally or unintentionally, submit fraudulent, incorrect or illegible images to us or if Mobile Deposit RDC is used, by authorized or unauthorized persons, to submit fraudulent, unauthorized, inaccurate, incorrect or otherwise improper or unusable images to us. In addition you agree that you will not modify, change, alter, translate, create derivative works from, reverse engineer, disassemble or decompile the technology or ServiceRDC, copy or reproduce all or any part of the technology or ServiceRDC; or interfere, or attempt to interfere, with the technology or ServiceRDC. We and our technology partners, inclusive of, but not limited to, Intuit, Inc. NCR/Digital Insight and Vertifi Ensenta Software, LLC, retain all rights, title and interests in and to the ServicesRDC, Software and Development made available to you. Accountholder's ’s Indemnification Obligation. Obligation You understand and agree that you are required to indemnify us and hold us harmless against any and all claims, actions, damages, liabilities, costscost, and expenses, including reasonable attorneys' attorney’s fees and expenses arising from your use of the Services RDC and/or breach of this Disclosure and Agreement. You understand and agree that this paragraph shall survive the termination of this Agreement. You understand and agree that you are required to indemnify our technology partners, including but not limited to Intuit, Inc. (Intuit) NCR/Digital Insight and Vertifi Ensenta Software, LLC (Vertifi)LLC, and hold harmless IntuitNCR/Digital Insight, its affiliates, officers, employees and agents, as well as VertifiEnsenta Software, LLC, its affiliates, officers, employees, and agents, from and against any third party claims, suits, proceedings, actions or demands, including to claims of another financial institution, business entity or governmental authority, and all losses, liabilities, damages, fines, penalties, costs and expenses, including court costs and reasonable attorney fees and expenses, arising from such claims, to the extent such claim is related to GE Credit Union’s Global or the member's use end users of the ServicesRDC, Vertifi Ensenta Software, LLC or Intuit NCR/Digital Insight Applications, unless such claim directly results from an action or omission made by Intuit NCR/Digital Insight or Vertifi Ensenta Software, LLC in bad faith. You understand and agree that this paragraph shall survive the termination of this Agreement.

You will promptly provide any retained check, or a sufficient copy of the front and back of the check, to the Bank as requested to aid in the clearing and collection process, to resolve claims by third parties with respect to any check or check image, or for the Bank’s audit purposes. In addition addition, you agree that you will not modify, change, alter, translate, create derivative works from, reverse engineer, or disassemble or decompile the technology or Service, copy or reproduce all or any part of the technology or Service; or interfere, or attempt to interfere, with the technology or Service. We and our technology partners, inclusive of, but not limited to, Intuit, Inc. and Vertifi Software, LLC, partners retain all rights, title and interests in and to the ServicesService, Software and Development made available to you. Accountholder's Indemnification ObligationDISCLAIMER OF WARRANTIES. YOU AGREE YOUR USE OF THE SERVICES AND ALL INFORMATION AND CONTENT (INCLUDING THAT OF THIRD PARTIES) IS AT YOUR SOLE RISK AND IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND AS TO THE USE OF THE SERVICES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES (i) WILL MEET YOUR REQUIREMENTS, (ii) WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE, AND (iv) ANY ERRORS IN THE SERVICES OR TECHNOLOGY WILL BE CORRECTED. YOU AGREE AND ACKNOWLEDGE THAT NO EXPRESS WARRANTIES HAVE BEEN GIVEN. LIMITATION OF LIABILITY. You agree that you are required to indemnify us and hold us harmless against the Bank from any and all claims, actions, damages, liabilities, costs, and expenses, including reasonable attorneys' fees and expenses arising from your use of the Services and/or loss for breach of this Disclosure and Agreementwarranty provision. Your Responsibility. You maintain with us at least one demand deposit or checking account (the “Account(s)”) for the purpose of providing available funds and for deposit of received funds in connection with the use of Mobile Deposit. You agree to maintain sufficient available funds in the Account(s) to cover all returned and rejected items and any fees you are obligated to pay hereunder. If at any time there are not sufficient collected funds in the Account(s) to cover your payment obligations hereunder, you agree to immediately pay us, on demand, the amount of any deficiency and we may, without prior notice or demand, obtain payment from you for any of your obligations hereunder by debiting any of your accounts with us. You are solely responsible for the quality, completeness, accuracy, validity and integrity of the imageImage. Accountholder's Indemnification ObligationIf you believe or suspect that any Original Checks or related information is known or may be accessed by unauthorized persons, or that any unauthorized person has transmitted or attempted to transmit one or more checks, you agree to notify us immediately, followed by written confirmation within twenty-four (24) hours. Unauthorized transactions will not affect the validity of transactions made in good faith by us prior to receipt of such written notification and we shall not be liable for any such transactions. You understand acknowledge that the security procedures are for verification of authenticity and agree that you are required not to indemnify detect errors. No security procedure for the detection of any such error has been agreed upon between us and hold us harmless against any and all claims, actions, damages, liabilities, costs, and expenses, including reasonable attorneys' fees and expenses arising from your use you; such errors are the sole responsibility of the Services and/or breach of this Disclosure and Agreement.
