Xxxxxxxxtations, Warranties and Covenants. The representations and warranties of Tulsa and Holdings contained in this Agreement that are qualified as to materiality or that make reference to a material adverse effect shall be true, correct and complete on and as of the Closing Date with the same force and effect as though such representations and warranties had been made or given on and as of such date, and each of the representations and warranties of Tulsa and Holdings contained in this Agreement that are not so qualified as to materiality or as to material adverse effect shall be true, correct and complete in all material respects on and as of the Closing Date with the same force and effect as though such representations and warranties had been made or given on and as of such date; each and all of the agreements and covenants of each of Tulsa and Holdings to be performed or complied with by them on or before the Closing Date pursuant to this Agreement shall have been performed or complied with in all material respects; and Tulsa and Holdings shall have delivered to the Acquiror a certificate, dated the Closing Date, regarding the matters set forth in this Section 6.1.

The representations and warranties of the Sellers and each of the Shareholders contained in this Agreement shall be true, correct and complete in all respects on and as of the Closing Date with the same force and effect as though such representations and warranties had been made or given on and as of such date. Each and all of the agreements and covenants of each of the Sellers and each of the Shareholders to be performed or complied with by them on or before the Closing Date pursuant to this Agreement shall have been performed or complied with in all respects. Each Seller and each of the Shareholders shall have delivered to the Buyer a certificate dated the Closing Date regarding the matters set forth in this Section 6.1.
