Common use of Xxxxxxxx-Xxxxx Act Loan Prohibition Clause in Contracts

Xxxxxxxx-Xxxxx Act Loan Prohibition. To the extent that any company benefit, program, practice, arrangement, or any term of this Agreement would or might otherwise result in the Company’s extension of a credit arrangement to Executive not permissible under the Xxxxxxxx-Xxxxx Act of 2002 (a “Loan”), the Company will use reasonable efforts to provide Executive with a substitute for such Loan, which is lawful and of at least equal value. If this cannot be done, or if doing so would be significantly more expensive to the Company than making a Loan, then the Company need not make or maintain a Loan or provide a substitute for it.
