Common use of Witness Expenses Clause in Contracts

Witness Expenses. To the fullest extent permitted by applicable law and to the extent that the Indemnitee is a witness or otherwise asked to participate in any Proceeding to which the Indemnitee is not a party that relates to his or her Corporate Status, the Company shall indemnify the Indemnitee against all Expenses actually incurred by the Indemnitee in connection with such Proceeding.

Witness Expenses. To the fullest extent permitted by applicable law and Applicable Law, subject to the Articles, to the extent that the Indemnitee is a witness or otherwise asked to participate or give testimony in any Proceeding to which the Indemnitee is not a party that relates to his or her Corporate Statusparty, the Company shall indemnify the Indemnitee against all Expenses actually and reasonably incurred by the Indemnitee in connection with such Proceeding.

Witness Expenses. To the fullest extent permitted by applicable law and to the extent that the Indemnitee is a witness or otherwise asked to participate in any Proceeding to which the Indemnitee is not a party that relates to his or her Corporate Statusparty, (i) the Company shall indemnify the Indemnitee against all Expenses actually and reasonably incurred by the Indemnitee in connection with such Proceeding, and (ii) reimburse Indemnitee, provided that Indemnitee is not an employee of the Company, $900 per hour of actual deposition or trial preparation or testimony.

To the fullest extent permitted by applicable law and the Articles and to the extent that the Indemnitee is a witness or otherwise asked to participate in any Proceeding to which the Indemnitee is not a party that relates to his or her Corporate Statusparty, the Company shall indemnify the Indemnitee against all Expenses actually and reasonably incurred by the Indemnitee in connection with such Proceeding.

To the fullest extent permitted by applicable law and to the extent that the Indemnitee Indemnitee, by reason of Indemnitee’s Corporate Status, is a witness witness, is or was made or otherwise asked to respond to discovery requested in any Proceeding, or otherwise participates or is asked to participate in any Proceeding to which the Indemnitee is not a party that relates to his or her Corporate Statusparty, the Company shall indemnify the Indemnitee against all Expenses actually and reasonably incurred by the Indemnitee in connection with such Proceeding.

To the fullest extent permitted by applicable law and to the extent that the Indemnitee is a witness witness, receives a subpoena or is otherwise asked to participate in any Proceeding to which the Indemnitee is not a party that relates to his or her Corporate Statusparty, the Company shall indemnify the Indemnitee against all Expenses actually and reasonably incurred by the Indemnitee in connection with such Proceeding.
