Common use of Witness Expenses Clause in Contracts

Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, he shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewith.

Witness Expenses. Notwithstanding any other provision of this Agreement, To the fullest extent permitted by applicable law and to the extent that Indemnitee is, by reason of his or her Corporate Status, is a witness or otherwise asked to participate in any Proceeding to which Indemnitee is not a party, he the Company shall be indemnified indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewithwith such Proceeding.

Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, he or she shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewith.

Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, he or she shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewith.

Witness Expenses. Notwithstanding any other provision of this Agreement, To the fullest extent permitted by applicable law and to the extent that Indemnitee is, by reason of his or her Corporate Status, is a witness or otherwise asked to participate in any Proceeding by virtue of his Corporate Status to which Indemnitee is not a partyparty (including responding to discovery requests), he the Company shall be indemnified indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewithwith such Proceeding.

Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of, or arising from, the fact that Indemnitee is or was an officer of his the Company or her Corporate Statusa member of the Company’s Board, a witness in any Proceeding to which Indemnitee is not a party, he shall be indemnified against all Expenses expenses actually and reasonably incurred by Indemnitee him or on his or her behalf in connection therewith.

Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, he or she shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee him or her or on his or her behalf in connection therewith.

Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that the Indemnitee is, by reason of his or her such Indemnitee’s Corporate Status, a witness for any reason in any Proceeding to which such Indemnitee is not a party, he or receives a subpoena in any Proceeding to which such Indemnitee is not a party, such Indemnitee shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf of such Indemnitee in connection therewith.. ​

Witness Expenses. Notwithstanding any other provision of this Agreement, To the fullest extent permitted by applicable law and to the extent that Indemnitee isIndemnitee, by reason of his or her Indemnitee’s Corporate Status, is a witness or otherwise asked to participate in any Proceeding to which Indemnitee is not a party, he the Company shall be indemnified indemnify Indemnitee against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewithwith such Proceeding.

Notwithstanding any other provision of this Agreement, to To the extent that Indemnitee is, by reason of his or her the Indemnitee’s Corporate Status, Status a witness in any Proceeding to any threatened, pending or completed action or suit to which Indemnitee is not a party, he or she shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewith.

Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, he such Intemnitee shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewith.

Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that the Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee he or she is not a party, he or she shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee him or her or on his or her behalf in connection therewith.

Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of, or arising from, the fact that Indemnitee is or was a member of his the Company’s Board, or her Corporate Statusthe board of directors of any subsidiary of the Company, a witness in any Proceeding proceeding to which Indemnitee is not a party, he shall be indemnified against all Expenses expenses actually and reasonably incurred by Indemnitee him or on his or her behalf in connection therewith.

Witness Expenses. Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding Proceeding, or otherwise asked to participate in any Proceeding, to which Indemnitee is not a party, he or she shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewith.

Witness Expenses. Notwithstanding any other provision of this AgreementSubject to Section 3.04, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness witness, deponent or interviewee in any Proceeding to which Indemnitee is not a party, he or she shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewith.

Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, he Indemnitee shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewith.. Notwithstanding any other provision of this Agreement, to To the extent that the Indemnitee is, by reason of his or her Corporate Statusthe Indemnitee’s Service to the Corporation, a witness for any reason in any Proceeding to which such Indemnitee is not a party, he such Indemnitee shall be indemnified against any and all Expenses actually and reasonably incurred by Indemnitee or on his or her behalf of such Indemnitee in connection therewith.

Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of, or arising from, the fact that Indemnitee is or was an officer of his the Company or her Corporate Statusa member of the Company's Board, a witness in any Proceeding to which Indemnitee is not a party, he Indemnitee shall be indemnified against all Expenses expenses actually and reasonably incurred by Indemnitee or on his or her Indemnitee’s behalf in connection therewith.

Witness Expenses. Notwithstanding any other provision of this Agreement, to the extent that Indemnitee is, by reason of his or her Corporate Status, a witness or participant, or threatened to be a witness or participant, or is asked or forced to respond to any discovery requests), in any Proceeding to which Indemnitee is not a party, he or she shall be indemnified against all Liabilities and Expenses actually and reasonably incurred by Indemnitee or on his or her behalf in connection therewith.
