Such notice must be provided to the Company at least 30 thirty (30) days prior to the effective date such termination. Such Termination shall not be deemed to be a breach of termination (which termination the Company may, in its sole discretion, make effective earlier than the date set forth in the Executive’s Notice of Termination)this Agreement.

Subject to the terms of this Agreement, the Executive may voluntarily terminate his Executive’s employment under this Agreement without Good Reason upon written by delivering to the Company a Notice of Termination to the Company at least 30 days not less than twelve (12) months prior to the effective date termination of termination (which termination the Company may, in its sole discretion, make effective earlier than the date set forth in the Executive’s Notice employment, and Executive shall be entitled to the benefits provided in Section 9(a) hereof through the last day of Termination)such notice period.

Subject to the terms of this Agreement, the Executive may voluntarily terminate his employment under this Agreement at any time without Good Reason upon written Notice of Termination notice by Executive to the Company at least 30 twenty (20) business days prior to the effective date of such termination (which termination the Company may, in its sole discretion, make effective earlier than the date set forth in the Executive’s Notice of TerminationTermination (as hereinafter defined in sub-section (b) below)).
