Common use of Willful Misconduct Clause in Contracts

Willful Misconduct. To indemnify the Indemnitee on account of the Indemnitee’s conduct which is finally adjudged to have been knowingly fraudulent or deliberately dishonest, or to constitute willful misconduct; or

Willful Misconduct. To indemnify the Indemnitee on account of the Indemnitee’s conduct which is finally adjudged to have been knowingly fraudulent or deliberately dishonest, or to constitute willful misconduct; or

To indemnify any Indemnitee for any losses that are finally judicially determined to have resulted primarily from the willful misconduct of the Indemnitee on account in which the Indemnitee did not in good faith believe he or she was acting in the best interests of the Indemnitee’s conduct which is finally adjudged to have been knowingly fraudulent or deliberately dishonest, or to constitute willful misconductCompany; or

Willful Misconduct. To indemnify the Indemnitee (x) on account of the Indemnitee’s 's conduct which is finally adjudged to have been knowingly fraudulent or deliberately dishonest, or to constitute willful misconductmisconduct or (y) if it is finally adjudged that Indemnitee did not act in good faith or in a manner he or she reasonably believed to be in or not opposed to the best interests of the Company; or
