Common use of Who Deemed Absolute Owner Clause in Contracts

Who Deemed Absolute Owner. The Company may deem the Person or Persons in whose name the Notes shall be registered upon the registry books of the Company to be, and may treat such Person or Persons as, the absolute owner of the Notes (whether or not the Notes shall be overdue) for the purpose of receiving payment of or on account of the principal of the Notes, for the conversion of the Notes and for all other purposes, and the Company shall not be affected by any notice to the contrary. All such payments and such conversion shall be valid and effectual to satisfy and discharge the liability upon the Notes to the extent of the sum or sums so paid or the conversion so made.
