Common use of Whenever the Conversion Price is adjusted as herein provided Clause in Contracts

Whenever the Conversion Price is adjusted as herein provided. (i) the Company shall compute the adjusted Conversion Price and shall prepare a certificate signed by the Chief Financial Officer or the Treasurer of the Company setting forth the adjusted Conversion Price and showing in reasonable detail the facts upon which such adjustment is based, and such certificate shall forthwith be filed with the Trustee and, if different, the transfer agent for the Preferred Securities and the Securities; and

Whenever the Conversion Price is adjusted as herein provided. (i1) the Company Corporation shall compute the adjusted Conversion Price and shall prepare a certificate signed by the Chief Financial Officer or the Treasurer of the Company Corporation setting forth the adjusted Conversion Price and showing in reasonable detail the facts upon which such adjustment is based, and such certificate shall forthwith be filed with the Trustee and, if different, the transfer agent for the Preferred Securities and the SecuritiesSeries A; and
