When Consent Granted. (a) The consent of Lessor to a Transfer may not be unreasonably withheld. Lessor shall respond to Lessee's request for consent within ten (10) business days following Lessor's receipt of the information described in Section 9.4 hereof. Should Lessor deny consent it shall specify its reasons therefor in its written denial. Should Lessor fail to respond within ten (10) business days to Lessee's request for consent, Lessor's consent shall be deemed to have been granted.

If the consents of all Shareholders entitled to vote have not been solicited in writing and if the unanimous written consent of all such Shareholders shall not have been received, the secretary shall give prompt notice of the action taken without a meeting to such Shareholders. This notice shall be given in the manner specified in the By-Laws.
