WAIVER OF VENUE. Each party hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Law, any objection which it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Document in any court referred to in Section 10.09(b). Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Law, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Applicable Law, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party of the parties hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Lawit may legally and effectively do so, any objection which it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Margin Loan Document Documentation in any court referred to in Section 10.09(b9.06(b). Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Lawlaw, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party of the parties hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Law, any objection which that it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Facility Document in any court referred to in Section 10.09(b)the first full sentence of Subsection (b) of this Section. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Law, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party of the parties hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Lawlaw, any objection which that it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Document Term Note in any court referred to in Section 10.09(b)subsection (b) of this Section. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Lawlaw, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party hereto Securing Party hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Lawit may legally and effectively do so, any objection which it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Document in any court referred to in paragraph (b) of this Section 10.09(b)6.07. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Lawlaw, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Lawit may legally and effectively do so, any objection which it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement Agreement, any First Lien Loan Document or any other Loan Second Lien Debt Document in any court referred to in paragraph (a) of this Section 10.09(b)8.7. WAIVER OF VENUE. Each party hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Lawit may legally and effectively do so, any objection which it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Document in any court referred to in Section 10.09(b)paragraph (b) of this Section. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Lawlaw, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party of the parties hereto hereby irrevocably and unconditionally waiveswaive, to the fullest extent permitted by applicable Requirements of Lawlaw, any objection which that it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Document Assignment in any such court referred to in Section 10.09(b)12 hereof. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Lawlaw, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Applicable Law, any objection which that it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Credit Document in any court referred to in Section 10.09(b)subsection (b) of this Section. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Applicable Law, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.. 107

Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Law, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

Each party hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of LawLaws, any objection which it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Document in any court referred to in Section 10.09(b10.14(b). Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Lawlaw, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party hereto of the Securing Parties hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Lawit may legally and effectively do so, any objection which it may now or hereafter have to the laying of venue of any suit, action or proceeding Amended and Restated Intercreditor and Collateral Agency Agreement arising out of or relating to this Agreement or any other Loan Document in any court referred to in Section 10.09(b)5.07. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Lawlaw, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Lawlaw, any objection which that it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Document in any court referred to in Section 10.09(b)subsection (a) of this Section. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Lawlaw, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Applicable Law, any objection which that it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Credit Document in any court referred to in subsection (b) of this Section 10.09(b)10.10. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Applicable Law, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Law, any objection which that it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Facility Document in any court referred to in Section 10.09(b)clause (b) of this Section. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Law, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each party hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Law, any objection which it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement or any other Loan Document in any court referred to in Section 10.09(b). Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Law, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Lawlaw, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.

WAIVER OF VENUE. Each Person party hereto hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable Requirements of Lawit may legally and effectively do so, any objection which it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement Parent Guaranty or any other Loan Document in any court referred to in Section 10.09(b)paragraph (b) of this Section. Each of the parties hereto hereby irrevocably waives, to the fullest extent permitted by applicable Requirements of Lawlaw, the defense of an inconvenient forum to the maintenance of such action or proceeding in any such court.
