Common use of Waiver of Rights, Defenses and Claims Clause in Contracts

Waiver of Rights, Defenses and Claims. Borrower hereby unconditionally and irrevocably waives all rights, defenses and claims that Borrower may have based on the fact that certain terms and provisions of the Mortgage Loan Agreement and Mezzanine A Loan Agreement, including without limitation certain definitions set forth in Section 1.1 of the Mortgage Loan Agreement and Mezzanine A Loan Agreement, are incorporated into this Agreement by reference (other than rights, defenses and claims arising under such terms and conditions).
