Waiver of Notice; Expenses. The Guarantor hereby expressly waives notice from the Trustee or the Holders of the Securities of their acceptance and reliance on this Guarantee. The Guarantor further waives, to the maximum extent permitted by law, any right that it may have (a) to require the Trustee or the Holders of the Securities to take action or otherwise proceed against the Company, (b) to require the Trustee or the Holders of the Securities to proceed against or exhaust any security pledged for the benefit of the Holders of the Securities under the Indenture or (c) to require the Trustee or the Holders of the Securities otherwise to enforce, assert or exercise any other right, power or remedy that may be available to the Trustee or such Holders. The Guarantor agrees to pay all costs, expenses and fees, including all reasonable attorneys’ fees and expenses, that may be incurred by the Trustee in enforcing or attempting to enforce this Guarantee or protecting the rights of the Trustee or the Holders of the Securities following any default on the part of the Guarantor hereunder, whether the same shall be enforced by suit or otherwise.

The Guarantor further waives, to the maximum extent permitted by law, any right that it may have (a) to require the Beneficiaries to take action or otherwise proceed against the Company, (b) to require the Beneficiaries to proceed against or exhaust any security granted by the Company or (c) to require the Beneficiaries otherwise to enforce, assert or exercise any other right, power or remedy that may be available to the Beneficiaries. The Guarantor agrees to pay all costs, expenses and fees, including all reasonable attorneys’ fees and expenses, that may be incurred by the Beneficiaries in enforcing or attempting to enforce this Guarantee or protecting the rights of the Beneficiaries following any default on the part of the Guarantor hereunder, whether the same shall be enforced by suit or otherwise.

Each Guarantor agrees to pay all reasonable costs, Trustee's fees and commissions and expenses (including all court costs and reasonable attorneys' fees) which may be incurred by the Trustee in enforcing or attempting to enforce this Guarantee following any default on the part of each Guarantor hereunder, whether the same shall be enforced by suit or otherwise.

The Partnership hereby expressly waives notice from the Trustee or the Holders from time to time of the Securities of their acceptance and reliance on this Partnership Guarantee of any action taken or omitted in reliance hereon. The Partnership further expressly waives diligence, presentment, demand for payment, protest, any requirement that any right or power be exhausted or any action be taken against the Company or the Partnership or against any Collateral. The Partnership agrees to pay all reasonable costs, Trustee's fees and commissions and expenses (including all court costs and reasonable attorneys' fees) which may be incurred by the Trustee in enforcing or attempting to enforce this Partnership Guarantee following any default on the part of the Partnership hereunder, whether the same shall be enforced by suit or otherwise.

The Subsidiary Guarantors each hereby expressly waive notice from the Agent and the Lenders of its acceptance and reliance on the Subsidiary Guarantor's Guarantee or of any action taken or omitted in reliance hereon. The Subsidiary Guarantors further expressly waive diligence, presentment, demand for payment, protest, any requirement that any right or power be exhausted or any action be taken against the Borrower or against any other obligor under any of the Transaction Documents or against the Collateral or any other collateral security for the Obligations. The Subsidiary Guarantors jointly and severally agree to pay all costs, fees, commissions and expenses (including, without limitation, all court costs and reasonable attorneys' fees) which may be incurred by the Agent or the Lenders in enforcing or attempting to enforce the Subsidiary Guarantee Obligations following any default on the part of any or all of the Subsidiary Guarantors hereunder, whether the same shall be enforced by suit or otherwise.

Each Guarantor hereby expressly waives presentment, demand, protest and notice of non-payment and further waives notice from the Trustee or the Holders from time to time of the Bonds of their acceptance and reliance on this Bond Guaranty Agreement or of any action taken or omitted in reliance hereon, and of any default by any Guarantor in the Guaranteed Obligations. Each Guarantor further expressly waives diligence, presentment, demand for payment, protest, and requirement that any right or power be exhausted or any action be taken against the Issuer, the Company or against any other obligor under any of the Security Documents or against any collateral security for the Guaranteed Obligations. The Guarantors, jointly and severally, agree to pay all costs, the Trustee’s and any Bondholder’s fees and expenses, and Trustee commissions and expenses (including all court costs and reasonable attorneys’ fees and expenses) which may be incurred by the Trustee or any Bondholder in enforcing or attempting to enforce this Bond Guaranty Agreement following any default on the part of any or all of the Guarantors hereunder, whether the same shall be enforced by suit or otherwise.

The Guarantor agrees to pay all costs, fees, commissions and expenses (including, without limitation, all court costs and reasonable attorneys’ fees) which may be incurred by the Agent or the Lenders in enforcing or attempting to enforce the Guarantee Obligations following any default on the part of the Guarantor hereunder, whether the same shall be enforced by suit or otherwise.

The Obligor hereby expressly waives notice from the Trustee or the Holders from time to time of the Bonds of their acceptance and reliance on this Pledge and Security Agreement or of any action taken or omitted in reliance hereon. The Obligor further expressly waives diligence, presentment, demand for payment, protest, any requirement that any right or power be exhausted or any action be taken against the Issuer or the Obligor or against any other obligor under any of the Security Documents or against any Pledged Collateral security for the Bonds. The Obligor agrees to pay all costs, Trustee’s fees and commissions and expenses (including all court costs and reasonable attorneys’ fees and expenses) which may be incurred by the Trustee in enforcing or attempting to enforce this Pledge and Security Agreement following any default on the part of the Obligor hereunder, whether the same shall be enforced by suit or otherwise.

The Lessee further expressly waives diligence, presentment, demand for payment, protest, any requirement that any right or power be exhausted or any action be taken against the Agency or the Lessee or against any collateral security for the Bond. The Lessee agrees to pay all costs, Bondholder's fees and commissions and expenses (including all court costs and reasonable attorneys' fees) which may be incurred by the Bondholder in enforcing or attempting to enforce this Lessee Guaranty following any default on the part of any Lessee hereunder, whether the same shall be enforced by suit or otherwise.

The Guarantor hereby expressly waives notice from the Authority, the Trustee or the Holders from time to time of the Series 1999 Bonds of their acceptance and reliance on this Guaranty Agreement or of any action taken or omitted in reliance hereon. The Guarantor further expressly waives diligence, presentment, demand for payment, protest, any requirement that any right or power be exhausted or any action be taken against the Authority or the Trustee or against any other obligor under any of the documents executed in connection with the Series 1999 Bonds. The Guarantor agrees to pay all reasonable costs, Authority's fees, Trustee's fees and commissions and expenses (including all reasonable court costs and attorneys' fees) which may be incurred by the Authority or the Trustee in enforcing or attempting to enforce this Guaranty Agreement following any Event of Default on the part of the Guarantor hereunder, whether the same shall be enforced by suit or otherwise.
