Common use of Voluntary Resignation by Executive Clause in Contracts

Voluntary Resignation by Executive. Executive may voluntarily resign Executive’s position with Company at any time without Good Reason. In the event of Executive’s resignation without Good Reason, Executive will be entitled to receive the Standard Entitlements. In addition, Executive shall be entitled to receive reimbursement of any business expenses, to the extent not previously reimbursed, in accordance with Section 6 above. Except for any terms and conditions of this Agreement that by their terms survive termination of Executive’s employment, all other Company obligations to Executive pursuant to this Agreement will become automatically terminated and completely extinguished. In addition, Executive will not be entitled to receive the Severance Package or other amounts described in subsection 7.2 above.

Executive may voluntarily resign Executive’s 's position with Company for any reason, at any time without Good Reasonafter the Effective Date, on five (5) days' advance written notice. In the event of Executive’s resignation without Good Reason's resignation, Executive will be entitled to receive only the Standard EntitlementsBase Salary for the five-day notice period and no other amount for the remaining Employment Term (other than amounts to which Executive is entitled pursuant to Section 5 or 6 hereof). In addition, Executive shall be entitled to receive reimbursement of any business expenses, to the extent not previously reimbursed, in accordance with Section 6 above. Except for any terms and conditions of this Agreement that by their terms survive termination of Executive’s employment, all All other Company obligations to Executive pursuant to this Agreement will become automatically terminated and completely extinguishedextinguished upon termination of employment. In addition, Executive will not be entitled to receive the any Severance Package or other amounts Payments described in subsection 7.2 Section 7.2, above. The provisions of this Section 7.4 shall not apply to Executive's resignation for Good Reason.
