(viii) Clause Samples

(viii). The joinder of Holdings as a Guarantor and (i) the amendment and restatement of the Credit Agreement set forth in Section 3 hereof and (ii) the amendment and restatement of the Security Agreement set forth in Section 3, shall become effective, as of the date hereof, upon the Lenders’ and the Agent’s satisfaction with each of the following conditions precedent (the “Restatement Effective Date”):

(viii). The provisions of this Section do not constitute consent to the issuance or incurrence of any Indebtedness by the Borrower or any of its Subsidiaries not otherwise permitted hereunder.
