Common use of Variation Procedure Clause in Contracts

Variation Procedure. Subject to the provisions of this Clause 16, the Authority may request a variation to this Dynamic Purchasing System Agreement provided that such variation does not amount to a material change of this Dynamic Purchasing System Agreement within the meaning of the Regulations and the Law. Such a change once implemented is hereinafter called a "Variation". The Authority may, at its own instance or where in its sole and absolute discretion it decides to having been requested to do so by the Supplier, request a Variation by completing and sending the Variation Form as set out in DPS Schedule 12 (Variation Form) to the Supplier giving sufficient information for the Supplier to assess the extent of the proposed Variation and any additional cost that may be incurred. The Supplier shall respond to the Authority’s request pursuant to Clause 16.1.2 within the time limits specified in the Variation Form. Such time limits shall be reasonable and ultimately at the discretion of the Authority having regard to the nature of the proposed Variation. In the event that the Supplier is unable to agree to the Variation the Authority may: agree to continue to perform its obligations under this Dynamic Purchasing System Agreement without the Variation; or terminate this Dynamic Purchasing System Agreement with immediate effect.
