Common use of Valid Sale; Binding Obligations Clause in Contracts

Valid Sale; Binding Obligations. This Agreement shall have been duly authorized by all necessary limited liability company action on the part of the Seller and shall evidence a valid sale, transfer and assignment of the Receivables, enforceable against creditors of and purchasers from the Seller; and shall constitute a legal, valid and binding obligation of the Seller enforceable in accordance with its terms, except as enforceability may be limited by bankruptcy, insolvency, reorganization or other similar laws affecting creditors’ rights generally or by general equity principles.

Valid Sale; Binding Obligations. This Agreement shall have been duly authorized by all necessary limited liability company action on the part of the Seller and shall evidence evidences a valid sale, transfer and assignment of the Receivables, enforceable against creditors of and purchasers from the SellerSeller (other than a good faith purchaser for value in the ordinary course of business who takes actual possession of one or more Receivables); and shall constitute this Agreement is a legal, valid and binding obligation of the Seller enforceable in accordance with its terms, except as enforceability may be limited by subject to the effect of bankruptcy, insolvency, reorganization reorganization, moratorium or other similar laws affecting creditors’ rights generally or and by general equity equitable principles.
