Valid Issuance of Stock. (a) The outstanding shares of Common Stock are duly and validly authorized and issued, fully paid, and non-assessable. The issuance, sale and delivery of the Shares being purchased by the Investor hereunder have been duly authorized by all requisite corporate action on the part of the Company and paid for and delivered in accordance with the terms hereof for the consideration expressed herein, will be duly and validly issued, fully paid and non-assessable and free of any liens or encumbrances, except for restrictions under applicable federal and state securities laws.
