Use of Work Product On Termination or Default. 4.4.1 If Design-Builder terminates this Agreement for its convenience as set forth in Section 8.2 hereof, or if Design-Build Subcontractor elects to terminate this Agreement in accordance with Section 8.5 of this Agreement, Design-Build Subcontractor, upon Design-Builder’s payment in full of the amounts due Design-Build Subcontractor under the Contract Documents, grants Design-Builder and Owner the same rights as set forth in Section 4.1.1 above to use the Work Product to complete the Project and subsequently occupy the Project, conditioned on the following:
