Use and Closure. The public’s right to use the Easement Area is limited to daylight hours. The Easement Area may be used by the general public for informal recreational uses, which may include lawn areas, pathways, planted areas, benches, common areas, green space and the like. The Easement Area shall be open to the public, at minimum, from ▇▇▇▇ to dusk 7 days a week, provided, however, Owner may temporarily close the Easement Area for construction or other work of improvements or, in Owner’s reasonable discretion, due to disruptive behavior of users or people visiting the Easement Area or safety concerns. Closures lasting longer than 10 consecutive days shall be subject to written City approval, which shall not to be unreasonably withheld. The right of the public to use the Easement Area is subject to compliance with rules established by Owner from time to time in consultation with City, as the same may be subsequently amended. Owner shall provide copies of any proposed rules to the City Manager and the City Manager shall have 30 days to review and approve or disapprove any rule, or portion thereof. If the City Manager fails to approve or disapprove any rule within the 30 day period, Owner may send a second notice to City indicating that City’s failure to approve or disapprove such rule within 10 business days following the date of delivery of the second notice shall be deemed City’s approval of the proposed rule. City’s subsequent failure to approve or disapprove said rule within such 10-business day period shall be deemed City’s approval of the new rule. In no event shall Owner be required to adopt rules that are less stringent than those adopted by City for similar publicly accessible open spaces within its jurisdiction. City shall work with Owner in good faith to develop an effective mechanism to enforce these rules.

  • Lane closure (i) The Contractor shall not close any lane of the Project Highway for undertaking maintenance works except with the prior written approval of the Authority’s Engineer. Such approval shall be sought by the Contractor through a written request to be made at least 10 (ten) days before the proposed closure of lane and shall be accompanied by particulars thereof. Within 5 (five) business days of receiving such request, the Authority’s Engineer shall grant permission with such modifications as it may deem necessary and a copy of such permission shall be sent to the Authority. (ii) Upon receiving the permission pursuant to Clause 14.5 (i), the Contractor shall be entitled to close the designated lane for the period specified therein, and for all lane closures extending a continuous period of 48 (forty-eight) hours, the Contractor shall, in the event of any delay in re-opening such lane, for every stretch of 250 (two hundred and fifty) metres, or part thereof, pay Damages to the Authority calculated at the rate of 0.1% (zero point one per cent) of the monthly maintenance payment for each day of delay until the lane has been re-opened for traffic. In the event of any delay in re-opening such lanes or in the event of emergency decommissioning and closure to traffic of the whole or any part of the Project Highway due to failure of the Contractor, the Contractor shall pay damages to the Authority at double the above rate, without prejudice the rights of the Authority under this Agreement including Termination thereof.

  • POSSESSION AND CLOSING If BUYERS timely perform all obligations, possession of the Property shall be delivered to Buyers on April 10, 2020, and any adjustments of rent, insurance, interest and all charges attributable to the SELLERS' possession shall be made as of the date of possession. Closing shall occur after the approval of title by BUYERS and vacation of the Property by ▇▇▇▇▇▇▇, but prior to possession by BUYERS. SELLERS agree to permit BUYERS to inspect the Property within 0 hours prior to closing to assure that the premises are in the condition required by this Agreement. If possession is given on a day other than closing, the parties shall make a separate agreement with adjustments as of the date of possession. This transaction shall be considered closed: Upon the delivery of the title transfer documents to BUYERS and receipt of all funds then due at closing from BUYERS under the Agreement.

  • PLANT CLOSURE 29.01 In the event the Company closes the plant at the Cambridge location as a result of the loss of business or a discontinuation of all operations, severance pay will be calculated at one (1) week’s regular pay per year of service. The severance payment, so calculated, is inclusive of any severance payment required by the Ontario Employment Standards Act (Revised 2000). This agreement is not applicable to a sale of the business or if the closure is occasioned by a labour dispute.

  • Contract Closure Contracting Officer shall give appropriate written notice to Purchaser when Purchaser has complied with the terms of this contract. Purchaser shall be paid refunds due from Timber Sale Account un- der B4.24 and excess cooperative deposits under B4.218.

  • Customer Support and Closing A. Agent shall provide support to Referred Client in their evaluation and negotiation for the purchase or sale of real estate in addition to the following duties: i. Provide Referred Client with qualified local vendor sources to facilitate the sale; ii. Assist Referred Client throughout the transaction, acting within applicable standards of care at all times; iii. Use professional knowledge and skills to negotiate for Referred Client purchase or sale of property; iv. Agent agrees to at all times fully comply with all laws, statutes, ordinances, rules, regulations, and orders applicable to this Agreement. B. Agent shall deliver or coordinate with the Title, Escrow or Closing Agent to deliver to ▇▇▇▇.▇▇▇ a copy of the Closing Statement within 48 hours of Closing. Agent will confirm Closing and coordinate the payment of Referral Fees to ▇▇▇▇.▇▇▇ by the Closing Agent at Closing. Closing updates shall be reported by Agent to ▇▇▇▇.▇▇▇ via email to ▇▇▇▇▇▇▇▇▇▇▇▇@▇▇▇▇.▇▇▇.
