Common use of U.S. Employees Clause in Contracts

U.S. Employees. Except as provided herein, Neenah Paper shall be solely responsible for all claims for workers’ compensation reported by a Transferred Employee employed in the U.S. on or after the Distribution Date. K▇▇▇▇▇▇▇-▇▇▇▇▇ shall continue to be responsible after the Distribution Date for administering all claims for workers’ compensation reported by a Domestic Business Employee prior to the Distribution Date under the terms of any K▇▇▇▇▇▇▇-▇▇▇▇▇ workers’ compensation policy or plan; however, Neenah Paper shall reimburse, and shall indemnify K▇▇▇▇▇▇▇-▇▇▇▇▇, or its subsidiaries or affiliates, for any amounts payable under such claims. In accordance with Section 6.05, K▇▇▇▇▇▇▇-▇▇▇▇▇ shall transfer, or cause to have transferred, to Neenah Paper the amount of any reserves related to such claims which have been set aside by K▇▇▇▇▇▇▇-▇▇▇▇▇, its subsidiaries or affiliates prior to the Distribution Date.
