Updates to Development Plan Clause Samples
The "Updates to Development Plan" clause defines the process and requirements for modifying the project's development plan during the course of an agreement. Updates to Development Plan. Should the Development Services be transferred to Licensee pursuant to the provisions of the Transition Services Agreement and Radius receives notices from Eisai which indicates that Eisai does not believe performance of the Development Plan is consistent with the obligations to use Commercially Reasonable Efforts in Developing Licensed Compound and/or Licensed Product in the Territory, Radius shall inform Licensee and the Parties shall immediately meet to discuss in good faith on possible actions or conducts that the Parties would consider to be an acceptable remediation of such inconsistency versus Eisai’s indications and in order to prevent any possible complaint by Eisai.
Updates to Development Plan. On an annual basis, OnCore shall use its Commercially Reasonable Efforts to update the Development Plan and submit such updated Development Plan, no later than [***] of each Contract Year, to the JSC for review and discussion.
Updates to Development Plan. Company shall update and amend the Development Plan as appropriate, in Company’s sole discretion, acting in good faith. Updates to Development Plan. From time to time during the term of this Agreement, the JDC shall update and amend, as appropriate, the then-current Development Plan, including to identify specific Development activities to be performed by MDACC and Company, and shall submit such amended Development Plan to the JSC for approval. Once approved by the JSC, each updated or amended Development Plan shall become effective and supersede the previous Development Plan as of the date of such approval. Notwithstanding the provisions in Section 3.1(d), Company shall not exercise its final decision making authority on the JSC to amend the Development Plan to modify the Development activities assigned to MDACC thereunder without the consent of MDACC. Each update to the Development Plan shall reflect that time is of the essence for the Development of Licensed products.
