Common use of Unpaid Invoices Clause in Contracts

Unpaid Invoices. The Transfer Agent may terminate this Agreement immediately upon an unpaid invoice payable by the Fund to the Transfer Agent being outstanding for more than ninety (90) days after receipt by the Fund, except with respect to any amount subject to a good faith dispute within the meaning of Section 3.5 of this Agreement. The Transfer Agent shall provide the Fund with five (5) business days’ notice of such proposed termination. If the Transfer Agent receives payment from the Fund for such invoice prior to the termination date stated in such notice, the Transfer Agent may, in its discretion, acting reasonably, waive the right specified in this Section 12.5 to terminate this Agreement.

If The notice of such termination shall be void and no termination will have occurred, if the Transfer Agent receives payment from the Fund for such invoice prior to the termination date stated in such notice, the Transfer Agent may, in its discretion, acting reasonably, waive the right specified in this Section 12.5 to terminate this Agreement.
