Unique Qualities. The parties agree and acknowledge that the Licensee is a unique entity and, therefore, the rights and benefits that will accrue to NSU by reason of this Agreement are unique and that NSU may not be adequately compensated in money damages for Licensee’s failure to comply with the material obligations of Licensee under this Agreement and that therefore NSU, at its option, shall have the right to pursue any remedy available at law, equity, or otherwise, including the recovery of money damages and/or the right to seek equitable relief (whether it be injunctive relief, specific performance or otherwise) in the event that Licensee violates its obligation to hold an Event at the Facility, or to provide evidence of fulfillment of its obligations under Section 13(m) of this Agreement.

The parties agree and acknowledge that the Licensee is a unique entity and, therefore, the rights and benefits that will accrue to SMG by reason of this Agreement are unique and that SMG may not be adequately compensated in money damages for Licensee’s failure to comply with the material obligations of Licensee under this Agreement and that therefore SMG, at its option, shall have the right to pursue any remedy available at law, equity, or otherwise, including the recovery of money damages and/or the right to seek equitable relief (whether it be injunctive relief, specific performance or otherwise) in the event that Licensee violates its obligation to hold an Event at the Facility.

The parties agree and acknowledge that the Licensee is a unique entity and, therefore, the rights and benefits that will accrue to ASM by reason of this Agreement are unique and that ASM may not be adequately compensated in money damages for Licensee's failure to comply with the material obligations of Licensee under this Agreement, and that therefore ASM, at its option, shall have the right to pursue any remedy available at law, equity, or otherwise, including the recovery of money damages and/or the right to seek equitable relief (whether it be injunctive relief, specific performance or otherwise) in the event that Licensee violates its obligation to hold an Event at the Venue, or to provide evidence of fulfillment of its obligations of this Agreement.

The parties agree and acknowledge that the Licensee is a unique entity and, therefore, the rights and benefits that will accrue to Big3 by reason of this Agreement are unique and that Big3 may not be adequately compensated in money damages for Licensee’s failure to comply with the material obligations of Licensee under this Agreement and that therefore Big3, at its option, shall have the right to pursue any remedy available at law, equity, or otherwise, including the recovery of money damages and/or the right to seek equitable relief (whether it be injunctive relief, specific performance or otherwise) in the event that Licensee violates its obligation to hold an Event at the Facility, or to provide evidence of fulfillment of its obligations under Section 14(m) of this Agreement.

The parties agree and acknowledge that the Event is a unique entity and, therefore, the rights and benefits that will accrue to ASM by reason of this Agreement are unique and that ASM cannot be adequately compensated in money damages for LICENSEE’s failure to comply with the material obligations of LICENSEE under this Agreement and that therefore ASM shall have the right to seek equitable relief (whether it be injunctive relief, specific performance or otherwise) in the event that LICENSEE fails to fulfill its obligation to hold the Event at the Facility.
Unique Qualities. The parties agree and acknowledge that each a unique entity and, therefore, the rights and benefits that will accrue to the other by reason of this Agreement are unique and that they may not be adequately compensated in money damages for the other’s failure to comply with the material obligations of the other under this Agreement and that therefore each party, at its option, shall have the right to pursue any remedy available at law, equity, or otherwise, including the recovery of money damages and/or the right to seek equitable relief (whether it be injunctive relief, specific performance or otherwise) in the event that either party violates its obligation to hold an Event at the Facility, or to provide evidence of fulfillment of its obligations under Section 13(m) of this Agreement.
